This Terms of Service Agreement ("Agreement") is entered into by and between Quri, LLC, a Nevada limited liability company with its principal place of business at 700 Shadow Ln, Suite 430, Las Vegas, NV 89106 ("Quri", "we", "us", or "Provider"), and the individual or entity accessing or using the Services ("Customer", "you", or "User").
By accessing or using the Services, creating an account, or clicking to accept this Agreement, you agree to be bound by it. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "Customer" refers to that entity. If you do not agree, do not access or use the Services.
Please read Sections 6 (Quri Data, Intelligence and Scoring), 8 (Outreach Automation), 11 (Disclaimers), and 13 (Limitation of Liability) carefully. They limit our liability and allocate significant risk to you.
"Authorized User" means an individual authorized by Customer to access and use the Services on Customer's behalf, including employees, contractors, consultants, and agents, who has been issued unique credentials by Customer or Quri.
"Customer Data" means data, content, and information submitted to, uploaded to, or generated within the Services by Customer or its Authorized Users, including account information, uploaded lists, notes, tasks, tracker records, message content composed by Customer, and configuration settings. Customer Data does not include Quri Data.
"Documentation" means Quri's then-current user guides, help center articles, and technical documentation made available for the Services.
"Order Form" means an ordering document, online checkout, or subscription confirmation specifying the plan, term, fees, and any additional terms applicable to Customer's subscription.
"Outreach Features" means any functionality within the Services enabling Customer to compose, schedule, automate, send, or track communications to third parties, including by email and through third-party professional networking platforms.
"Quri Data" means the data compilations, profiles, records, scores, rankings, classifications, estimates, and derived metrics assembled, normalized, enriched, and generated by Quri and made available through the Services, as further described in Section 6.
"Services" means Quri's software-as-a-service applications, platforms, APIs, and related services made available by Quri, including without limitation Sitara, StudyFinder (also referred to as the Quri Site BD platform), TrialTrack, and any other product, feature, module, or service that Quri makes available now or in the future, together with all updates, upgrades, modifications, and Documentation.
2.1 Scope
This Agreement governs Customer's access to and use of all Services. Additional or differing terms applicable to a specific product, plan, or feature may be set out in an Order Form or product-specific terms, which are incorporated into this Agreement by reference. In the event of a conflict, the Order Form controls with respect to that product or subscription only.
2.2 License Grant
Subject to Customer's compliance with this Agreement and payment of applicable fees, Quri grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the Term, solely for Customer's own internal business purposes.
2.3 Reservation of Rights
All rights not expressly granted are reserved by Quri. Nothing in this Agreement transfers ownership of the Services, Quri Data, or any related intellectual property to Customer.
2.4 Modifications to the Services
Quri may modify, update, add to, discontinue, deprecate, or remove any feature, functionality, data source, or aspect of the Services at any time. Quri will use commercially reasonable efforts to provide advance notice of changes that Quri reasonably determines will materially and adversely affect core functionality relied upon by Customer, ordinarily at least 30 days in advance, except where a change is required for security, legal compliance, third-party data licensing requirements, or to address an urgent operational issue, in which case Quri may act without prior notice.
Quri does not warrant that any particular feature, data field, data source, metric, or score will remain available.
2.5 Support
Quri will provide technical support in accordance with its then-current support practices, using commercially reasonable efforts to respond to and resolve issues during standard business hours via the support channels Quri makes available. Support does not include: issues caused by Customer's systems, network, or third-party services; issues arising from Customer's misuse of the Services or breach of this Agreement; custom development; data entry; or training beyond generally available Documentation and onboarding materials.
Quri does not commit to any service level, uptime percentage, or response time except as expressly stated in a separate written service level agreement signed by Quri.
2.6 Free, Trial, and Beta Offerings
Quri may offer free-of-charge accounts, free tiers, trials, evaluations, or beta features ("Free Offerings"). Notwithstanding anything else in this Agreement:
To the maximum extent permitted by law, Quri's total liability arising from or relating to any Free Offering will not exceed fifty U.S. dollars ($50).
3.1 Plans, Fees, and Limits
Current plans, subscription fees, usage limits, included allowances, credits, add-ons, and billing cycles are described on Quri's pricing page at https://www.quri.ai/pricing or in the applicable Order Form, each of which is incorporated into this Agreement by reference.
Quri may modify plans, fees, features, allowances, and usage limits at any time. Changes to fees applicable to an existing paid subscription will take effect at the commencement of the next renewal term, and Quri will provide notice at least 30 days prior to such renewal. Changes to Free Offerings may take effect immediately.
3.2 Payment
Customer will maintain valid, current payment information on file. Customer authorizes Quri and its payment processors to charge the applicable fees to Customer's designated payment method on a recurring basis according to the billing cycle of Customer's plan.
Except where required by law, all fees are non-refundable, and payments made for a subscription term are not refundable upon cancellation, downgrade, or termination.
3.3 Auto-Renewal
Paid subscriptions automatically renew for successive periods equal to the then-expiring term, at the then-current fees, unless Customer cancels before the end of the current term through the account settings interface or by written notice to support@quri.ai. Cancellation takes effect at the end of the then-current term; Customer retains access through that date.
3.4 Non-Payment
If a payment fails or is overdue, Quri may: (a) retry the charge; (b) provide notice and a grace period of seven (7) days; and (c) if payment remains outstanding after the grace period, suspend or downgrade Customer's access to the Services until payment is received. Quri will not delete Customer Data during a suspension for non-payment prior to the retention period described in Section 15.4. Quri may charge interest on overdue amounts at the lesser of 1.5% per month or the maximum permitted by law.
3.5 Taxes
Fees are exclusive of taxes. Customer is responsible for all sales, use, VAT, GST, and similar taxes, excluding taxes based on Quri's net income.
3.6 Usage-Based Features and Credits
Certain features may consume credits or be metered (including, without limitation, contact enrichment and message sending). Credit allowances, consumption rules, expiration, and overage pricing are described on the pricing page or in the Services interface. Except as expressly stated, credits have no cash value, are non-refundable, and expire in accordance with the terms described at the time of grant or purchase.
4.1 Accounts and Credentials
Customer is responsible for: (a) all activity occurring under its account and its Authorized Users' credentials; (b) maintaining the confidentiality and security of all credentials and API keys; (c) ensuring that only Authorized Users access the Services; and (d) promptly notifying Quri of any suspected unauthorized access. Credentials may not be shared among individuals.
4.2 Acceptable Use
Customer will comply, and will ensure that its Authorized Users comply, with the acceptable use requirements set out in Sections 4.7 through 4.14 below. Violation of any of those provisions is a material breach of this Agreement and may result in immediate suspension or termination under Section 15.2(b), with or without notice and without refund.
4.3 Compliance with Law
Customer is solely responsible for ensuring that its use of the Services complies with all applicable laws and regulations, including those relating to privacy, data protection, electronic communications, marketing, clinical research, and human subjects protection.
4.4 Customer Data Warranties
Customer represents and warrants that: (a) it owns or has all rights necessary to submit Customer Data to the Services and to grant the license in Section 9.2; (b) Customer Data does not infringe or misappropriate any third-party right; (c) Customer Data does not contain any data that Customer knows or reasonably should know to be false or misleading; and (d) Customer's submission and use of Customer Data complies with applicable law.
4.5 Protected Health Information
Customer will not upload, transmit, or otherwise submit Protected Health Information ("PHI"), as defined under HIPAA, or any individually identifiable patient data, to the Services unless the parties have executed a Business Associate Agreement ("BAA") expressly covering the applicable product. Quri's standard Services are not designed or intended to receive PHI. Where the parties have executed a BAA, that BAA governs the parties' respective HIPAA and HITECH obligations for the covered product and controls over any conflicting provision in this Agreement. For products and services not covered by an executed BAA, no HIPAA obligations apply and Customer bears sole responsibility for any PHI it submits in breach of this Section.
4.6 System Requirements
Customer is responsible for obtaining and maintaining the equipment, software, internet access, and connectivity required to access the Services. Quri is not responsible for disruptions, degradation, or unavailability arising from Customer's systems, network, or third-party providers.
4.7 General Prohibitions
Customer will not, and will not permit any Authorized User or third party to, use the Services to:

Customer's obligations regarding access to and extraction of Quri Data are set out in Section 10.2 and are incorporated into this Section 4 by reference. Breach of Section 10.2 is a breach of this Section 4.
4.10 Outreach and Communications
Certain Services enable Customer to compose, schedule, automate, send, and track communications to third parties. Customer is the sender and originator of all such communications. The risk allocation applicable to these features is set out in Section 8.

Quri may suspend or disable access to the Outreach Features, immediately and without prior notice, where Customer's sending generates bounce rates, spam complaint rates, or abuse reports at levels that Quri reasonably determines threaten the integrity of the Services, Quri's infrastructure, or Quri's relationships with third-party platforms and providers.
4.11 Contact Data and Individual Records
The Services provide access to business contact information and professional records relating to individual healthcare professionals and organizations. Customer will:

Customer will not: (a) attempt to gain unauthorized access to the Services, other customers' accounts or data, or any connected system or network; (b) access data not intended for Customer, or log into a server or account Customer is not authorized to access; (c) probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure, without Quri's prior written authorization; or (d) conduct penetration testing, load testing, or vulnerability scanning without Quri's prior written authorization. Suspected vulnerabilities should be reported to support@quri.ai.
4.13 Fair Use of Resources
Customer will not use the Services in a manner that imposes an unreasonable or disproportionate load on Quri's infrastructure, including by issuing excessive API calls, running high-frequency automated queries, or consuming resources inconsistent with normal human use. Quri may impose or adjust rate limits at any time.
4.14 Enforcement
Quri may investigate suspected violations of Sections 4.7 through 4.13 and take any action it deems appropriate, including:
Quri is not obligated to monitor use of the Services, and any failure to enforce these provisions in a given instance is not a waiver of Quri's right to enforce them subsequently. To report a suspected violation, contact support@quri.ai.
5.1 Third-Party Services
The Services may interoperate with, link to, or depend upon third-party products, platforms, and services, including email providers, professional networking platforms, payment processors, data enrichment providers, and data licensors ("Third-Party Services"). Quri does not control Third-Party Services and is not responsible for their availability, accuracy, security, performance, pricing, terms, or continued operation.
Customer's use of any Third-Party Service is governed by that provider's own terms. A Third-Party Service may change, restrict, or discontinue its offering, terms, or access at any time, which may affect the functionality of the Services. Quri will have no liability arising from any Third-Party Service, including any change, interruption, restriction, suspension, or termination of a Third-Party Service or of Customer's account with a Third-Party Service.
5.2 Third-Party Data Sources
Quri Data is derived in whole or in part from third-party sources, including publicly available government datasets, licensed commercial datasets, and information submitted to such sources by third parties. Quri does not originate, control, audit, verify, or guarantee the accuracy, completeness, currency, or reliability of these sources. Quri's access to any licensed data source may be modified, restricted, or terminated by the licensor, which may affect the availability of related features or data fields.
5.3 Individual Records; Correction Requests
The Services display information about individual healthcare professionals and organizations derived from public and licensed sources. Quri maintains a process for receiving and reviewing requests to correct or suppress such records. To submit a request, contact support@quri.ai. Customer will direct any such request it receives to Quri and will not independently represent to any third party that Quri will take any particular action.
This Section is material to the allocation of risk under this Agreement. Please read it carefully.
6.1 Nature of Quri Data
The Services present data compilations, investigator and site profiles, activity histories, scores, rankings, classifications, trends, estimates, patient-volume figures, and other derived metrics (collectively, "Quri Data"). Quri Data is assembled by processing, normalizing, matching, enriching, and analyzing information obtained from third-party sources, including publicly available government datasets and licensed commercial datasets, using automated methods including artificial intelligence and machine learning.
6.2 Source Data Limitations
Customer acknowledges and agrees that:

Scores, rankings, classifications, indicators, trends, estimates, and other derived metrics presented in the Services are proprietary, internally developed, composite indicators intended to serve as directional signals only. Customer acknowledges and agrees that:
6.4 No Warranty or Guarantee of Outcomes
QURI MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE THAT ANY INVESTIGATOR, SITE, ORGANIZATION, OR OTHER ENTITY IDENTIFIED, SCORED, RANKED, OR CLASSIFIED IN THE SERVICES WILL PERFORM IN ANY PARTICULAR MANNER, WILL ENROLL ANY PARTICULAR NUMBER OF PATIENTS, WILL MEET ANY TIMELINE, WILL BE SUITABLE OR AVAILABLE FOR ANY PARTICULAR STUDY, OR WILL ACHIEVE ANY PARTICULAR RESULT.
A high score, favorable ranking, or favorable classification is not a recommendation, endorsement, certification, qualification, or assurance of performance. A low score, unfavorable ranking, or absence from results is not a determination that any investigator, site, or organization is unqualified, unsuitable, or unable to perform.
6.5 Customer Is Solely Responsible for Its Decisions
Quri Data is provided as one input among many to Customer's own decision-making process. Customer is solely and exclusively responsible for all decisions it makes, including without limitation site identification, site selection, site qualification, feasibility assessment, contracting, budgeting, forecasting, outreach targeting, investment, acquisition, and diligence decisions. Customer agrees that it will: (a) independently verify Quri Data before relying on it; (b) conduct its own due diligence, feasibility assessment, and qualification of any site, investigator, or organization prior to selection or engagement; and (c) apply its own professional judgment and that of appropriately qualified personnel. Customer will not rely on Quri Data as the sole or primary basis for any material decision.
6.6 No Advisory or Professional Relationship
Quri is a software and data provider. Quri does not provide medical, clinical, scientific, regulatory, legal, financial, investment, or professional advice, and nothing in the Services constitutes such advice. No fiduciary, advisory, agency, or professional relationship is created by this Agreement or by Customer's use of the Services. Nothing in the Services constitutes a recommendation to enroll any patient, a determination of any site's regulatory or ethical suitability, or a securities or investment recommendation.
6.7 Allocation of Risk
To the maximum extent permitted by applicable law, Quri will have no liability of any kind arising out of or relating to Customer's use of, reliance on, or decisions based upon Quri Data, including without limitation any liability for:
This Section 6.7 applies regardless of the legal theory asserted and regardless of whether Quri was advised of the possibility of such loss, and survives termination of this Agreement.
7.1 Use of AI in the Services
Quri uses artificial intelligence and machine learning technologies to process, normalize, match, classify, score, summarize, and analyze third-party source data in order to produce Quri Data and market intelligence, and to power certain Service features such as search interpretation, classification, and content drafting.
7.2 No Training on Customer Data
Quri does not use Customer Data to train, fine-tune, or improve any artificial intelligence or machine learning model, whether Quri's own or a third party's. Quri's use of AI is directed at processing publicly available and licensed third-party data for market intelligence purposes, as described in Section 7.1. Where the Services transmit Customer Data to a third-party AI provider in order to deliver a feature at Customer's direction, Quri will contract with such provider on terms that prohibit use of Customer Data for model training.
7.3 Nature of AI Output
Output generated by artificial intelligence within the Services ("AI Output") — including scores, classifications, summaries, search interpretations, recommendations, and drafted content — is probabilistic and may be inaccurate, incomplete, outdated, internally inconsistent, or wholly incorrect. AI systems may produce plausible-seeming output that is not factually correct.
7.4 Customer Responsibility for AI Output
Customer is solely responsible for reviewing, verifying, and validating all AI Output before relying on or acting upon it. AI Output is an input to, and never a substitute for, human judgment. Section 6 applies to AI Output in full.
7.5 Ownership of AI Output
As between the parties, Customer owns AI Output generated from Customer's own inputs (such as message drafts composed at Customer's direction), subject to Quri's retained rights in the Services, Quri Data, and underlying models. Customer acknowledges that AI Output is generated probabilistically and that identical or substantially similar output may be generated for other customers, and Customer obtains no exclusive rights in such output.
This Section is material to the allocation of risk under this Agreement. Please read it carefully.
8.1 Customer Is the Sender
Certain Services enable Customer to compose, schedule, automate, send, and track communications to third parties via email, professional networking platforms, and other channels. Quri provides tooling only. As between the parties, Customer is the sender and originator of all communications sent using the Outreach Features and is solely responsible for their content, recipients, timing, volume, cadence, and frequency. Quri does not review, approve, monitor, or endorse the content of Customer's communications.
8.2 Customer Compliance Obligations
Customer is solely responsible for ensuring that its use of the Outreach Features complies with all applicable laws, regulations, and third-party terms, including without limitation: the CAN-SPAM Act; Canada's Anti-Spam Legislation (CASL); the General Data Protection Regulation and the ePrivacy Directive where applicable; the Telephone Consumer Protection Act; applicable state privacy, anti-spam, and commercial email laws; and the then-current terms of service, user agreements, acceptable use policies, and automation policies of any third-party platform through which communications are sent or accounts are connected, including LinkedIn and Customer's email service provider.
Customer represents and warrants that it has a lawful basis for contacting each recipient, that it will include all legally required disclosures and identifiers, and that it will honor opt-out and unsubscribe requests promptly.
8.3 Acknowledgment of Inherent Risk
Customer acknowledges and agrees that automated outreach — particularly at volume — carries inherent and unavoidable risks that are outside Quri's control. These risks include, without limitation:
8.4 No Guarantee of Platform Compliance
Quri makes commercially reasonable efforts to monitor and adapt the Outreach Features in light of publicly available third-party platform policies. However, third-party platforms change their policies, detection mechanisms, thresholds, and enforcement practices frequently, unilaterally, and often without public notice. Quri does not represent, warrant, or guarantee that use of the Outreach Features will comply with any third-party platform's terms at any given time, will avoid detection or enforcement action, or will achieve any particular deliverability, inbox placement, open, engagement, or response rate.
8.5 Allocation of Risk
Customer assumes all risk arising from its use of the Outreach Features. To the maximum extent permitted by applicable law, Quri will have no liability whatsoever for any of the outcomes described in Section 8.3, or for any resulting loss of business, revenue, opportunity, goodwill, data, contacts, or account access, regardless of the legal theory asserted and regardless of whether Quri was advised of the possibility of such loss.
8.6 Recommended Practices Are Not Warranties
Quri may from time to time publish or communicate recommended practices regarding sending volume, domain warm-up, list hygiene, personalization, cadence, or platform limits. Such recommendations are informational only, are not a warranty or guarantee of any outcome, and do not shift any risk or responsibility from Customer to Quri.
8.7 Suspension for Abuse
Quri may suspend or disable access to the Outreach Features immediately and without prior notice if Quri reasonably believes Customer's use violates applicable law, this Agreement, the Acceptable Use Policy, or the terms of any third-party platform, or is generating abuse complaints, bounce rates, or spam reports at levels that threaten the integrity of the Services or Quri's infrastructure or reputation.
9.1 Confidential Information
Each party ("Receiving Party") will protect the other party's ("Disclosing Party") non-public business, technical, financial, and product information disclosed in connection with this Agreement ("Confidential Information") with at least the degree of care it uses for its own confidential information of like importance, and in no event less than reasonable care. Confidential Information includes the terms of this Agreement and any Order Form, Quri's non-public product and methodology information, and Customer Data.
Confidential Information excludes information that: (a) is or becomes public through no fault of the Receiving Party; (b) was rightfully known to the Receiving Party without restriction before disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.
The Receiving Party may disclose Confidential Information to the extent required by law or valid legal process, provided it gives, where legally permitted, prompt notice and reasonable cooperation to allow the Disclosing Party to seek protective treatment.
9.2 Ownership of Customer Data
As between the parties, Customer retains all right, title, and interest in and to Customer Data. Quri acquires no ownership interest in Customer Data. Customer Data is Customer's Confidential Information.
Customer grants Quri a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and support the Services and as otherwise expressly permitted in this Agreement. This license terminates upon deletion of Customer Data in accordance with Section 15.4.
9.3 Permitted Use of Customer Data
Quri will access and process Customer Data only: (a) to provide, maintain, and support the Services; (b) to prevent or address technical, fraud, abuse, or security issues; (c) as directed or requested by Customer; or (d) as required by law or valid legal process. Quri will not sell, rent, or license Customer Data, and will not disclose Customer Data to any third party except to subprocessors bound by confidentiality and data protection obligations no less protective than those in this Agreement.
9.4 Aggregated and De-Identified Data
Notwithstanding Section 9.3, Quri may create and use aggregated, de-identified, and anonymized data derived from operation and use of the Services for the purposes of operating, analyzing, securing, benchmarking, and improving the Services, provided that such data does not identify Customer, any Authorized User, or any individual, and is not disclosed in a manner that could reasonably permit re-identification.
9.5 Security Measures
Quri will implement and maintain commercially reasonable administrative, technical, physical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, disclosure, alteration, loss, and destruction. Such measures will include, at minimum: encryption of Customer Data in transit using industry-standard protocols; encryption of Customer Data at rest; role-based access controls limiting personnel access on a need-to-know basis; logging and monitoring of access to production systems; and periodic review of security practices.
Customer acknowledges that no method of transmission or storage is completely secure, and that Quri does not guarantee that Customer Data will not be subject to unauthorized access.
9.6 Security Incident Notification
Quri will notify Customer without undue delay, and in any event within seventy-two (72) hours, after confirming unauthorized access to or disclosure of Customer Data. Such notice will describe the nature of the incident, the Customer Data affected to the extent known, remediation steps taken or planned, and a point of contact. Quri will cooperate reasonably with Customer's investigation and with any notification obligations Customer may have under applicable law.
9.7 Subprocessors
Quri may engage third-party subprocessors to provide the Services. A current list of subprocessors is available upon written request to support@quri.ai. Quri remains responsible for its subprocessors' performance of the obligations in this Section 9.
9.8 Data Processing Addendum
Where Quri processes personal data on Customer's behalf and applicable data protection law requires it, the parties will execute Quri's Data Processing Addendum, which upon execution is incorporated into this Agreement by reference and controls in the event of a conflict with this Section 9.
10.1 Ownership of the Services and Quri Data
Quri and its licensors retain all right, title, and interest in and to the Services, Quri Data, Documentation, and all underlying software, models, methodologies, algorithms, scoring systems, data compilations, designs, know-how, and technology, including all derivative works, improvements, and enhancements thereof (collectively, "Quri IP"), and all intellectual property rights therein.
While certain underlying source records may derive from publicly available datasets, Quri's selection, arrangement, matching, normalization, enrichment, classification, and scoring of that data constitutes a proprietary compilation owned exclusively by Quri.
10.2 Prohibited Extraction and Use of Quri Data
Customer may access and use Quri Data solely for its own internal business purposes as permitted by this Agreement. Customer will not, and will not permit any Authorized User or third party to:
Quri may monitor usage for compliance with this Section and may throttle, suspend, or terminate access, in addition to pursuing any other available remedy, where it reasonably suspects a violation. Customer acknowledges that a breach of this Section would cause irreparable harm for which monetary damages are inadequate.
10.3 Other Restrictions
Customer will not: reverse engineer, decompile, or disassemble the Services except to the extent applicable law prohibits such restriction; remove or obscure proprietary notices; or use the Services in violation of applicable law.
10.4 Feedback
Customer grants Quri a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and exploit any suggestions, enhancement requests, or feedback provided by Customer, without restriction or obligation.
10.5 Marks
Customer may not use Quri's trademarks, service marks, logos, or brand names without Quri's prior written consent.
10.6 Publicity
Quri may identify Customer as a customer and use Customer's name and logo in Quri's marketing materials and customer lists. Customer may withdraw this permission at any time by written notice to Quri, and Quri will cease such use within thirty (30) days of receiving notice.
11.1 Mutual Warranties
Each party represents and warrants that it has the full power and authority to enter into this Agreement.

Quri warrants that it will provide the Services in a professional and workmanlike manner. Customer's exclusive remedy for breach of this warranty is, at Quri's option, correction of the deficiency or termination of the affected subscription with a pro-rata refund of prepaid, unused fees.
11.3 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 11.2, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, QURI DATA, AI OUTPUT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
QURI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, QURI DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY DEFECT WILL BE CORRECTED; (C) QURI DATA, SCORES, PROFILES, ESTIMATES, RANKINGS, CLASSIFICATIONS, OR SEARCH RESULTS WILL BE ACCURATE, COMPLETE, CURRENT, COMPREHENSIVE, OR RELIABLE; (D) THE SERVICES WILL RETURN ALL RELEVANT RECORDS OR WILL NOT OMIT RELEVANT RECORDS; (E) ANY THIRD-PARTY DATA SOURCE WILL REMAIN AVAILABLE; OR (F) THE SERVICES WILL MEET CUSTOMER'S REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT.
THE DISCLAIMERS AND ALLOCATIONS OF RISK IN SECTIONS 6 AND 8 APPLY IN FULL AND ARE NOT LIMITED BY THIS SECTION 11. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to Customer.
12.1 By Quri
Quri will defend Customer against any third-party claim alleging that the Services, as provided by Quri and used in accordance with this Agreement, infringe a valid U.S. patent, copyright, or trademark, and will indemnify Customer against damages finally awarded or amounts agreed in settlement, plus reasonable attorneys' fees.
Quri has no obligation under this Section for any claim arising from: (a) Customer Data; (b) Quri Data to the extent derived from third-party sources; (c) combination of the Services with any product, data, service, or technology not provided by Quri, where the claim would not have arisen but for such combination; (d) use of the Services in breach of this Agreement or applicable law; (e) any modification of the Services not made by Quri; or (f) Free Offerings or beta features.
If the Services become, or Quri reasonably believes they may become, the subject of an infringement claim, Quri may at its option: procure the right for Customer to continue use; modify or replace the affected functionality; or terminate the affected subscription and refund prepaid, unused fees. This Section states Quri's entire liability and Customer's exclusive remedy for any claim of infringement.
12.2 By Customer
Customer will defend, indemnify, and hold harmless Quri and its officers, directors, members, employees, agents, and subcontractors from and against any claim, demand, proceeding, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to:
12.3 Procedure
The indemnified party will promptly notify the indemnifying party of any claim, grant it sole control of the defense and settlement (provided no settlement imposing liability or admission on the indemnified party is made without consent), and provide reasonable cooperation at the indemnifying party's expense.
13.1 Exclusion of Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR ANTICIPATED SAVINGS, OR FOR COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QURI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY CUSTOMER TO QURI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). FOR FREE OFFERINGS, QURI'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED FIFTY U.S. DOLLARS ($50).
13.3 Application
The limitations in this Section 13 apply in addition to, and do not limit, the allocations of risk in Sections 6.7 and 8.5. The parties agree that these limitations are a fundamental basis of the bargain and reflect the fees charged for the Services. They apply even if a limited remedy fails of its essential purpose.
13.4 Exclusions
Nothing in this Agreement limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law. Section 13.2 does not limit Customer's payment obligations or Customer's indemnification obligations under Section 12.2.
13.5 Time Limit
Any claim arising out of or relating to this Agreement or the Services must be brought within one (1) year after the cause of action accrues, or it is permanently barred, except where applicable law prohibits such limitation. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to Customer.
14.1 Export Control
The Services are subject to U.S. export control and economic sanctions laws. Customer will comply with all such laws and will not access, use, export, re-export, or transfer the Services in violation thereof. Customer represents that it is not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and is not identified on any U.S. government restricted-party list.
14.2 U.S. Government Users
The Services are "commercial computer software" developed exclusively at private expense. Use, duplication, and disclosure by U.S. Government entities is subject solely to the terms of this Agreement.
15.1 Term
This Agreement begins when Customer first accesses the Services or accepts this Agreement, and continues until all subscriptions have expired or been terminated.
15.2 Termination
15.3 Suspension
Quri may suspend access, in whole or in part, without terminating, where Quri reasonably believes suspension is necessary to prevent harm to the Services, other customers, or third parties, to address a security or legal risk, or to address a suspected violation of Section 10.2. Quri will restore access promptly once the cause is resolved.
15.4 Effect of Termination
Upon termination or expiration: (a) all licenses granted to Customer terminate immediately and Customer will cease all use of the Services and Quri Data; (b) Quri will make Customer Data available for export in a commonly used, machine-readable format for sixty (60) days following termination; and (c) after that period, Quri will delete Customer Data from active production systems, with residual copies in routine backups deleted in the ordinary course of Quri's backup rotation. For Free Offerings, Quri may delete Customer Data immediately upon termination. Termination does not relieve Customer of any obligation to pay amounts accrued prior to termination.
15.5 Survival
Sections 1, 3.2, 4.4, 4.5, 4.11, 5, 6, 7.3–7.5, 8.3–8.6, 9, 10, 11.3, 12, 13, 14, 15.4, 15.5, and 16 survive termination.
16.1 Changes to This Agreement
Quri may modify this Agreement from time to time. For material changes, Quri will provide notice by email or in-Service notification at least 30 days before the change takes effect, or, for paid subscriptions, will apply the change at the start of the next renewal term. Customer's continued use of the Services after the effective date constitutes acceptance. If Customer does not agree, Customer's exclusive remedy is to terminate under Section 15.2(a).
16.2 Governing Law and Venue
This Agreement is governed by the laws of the State of Nevada, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada. The UN Convention on Contracts for the International Sale of Goods does not apply.
16.3 Equitable Relief
Each party acknowledges that a breach of Sections 9 or 10 may cause irreparable harm for which monetary damages are inadequate, and that the non-breaching party may seek injunctive or other equitable relief without posting bond, in addition to any other remedy.
16.4 Force Majeure
Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor dispute, epidemic, governmental action, internet or utility failure, denial-of-service attack, or failure of a third-party provider.
16.5 Assignment
Customer may not assign this Agreement without Quri's prior written consent, not to be unreasonably withheld. Quri may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this Section is void.
16.6 Independent Contractors
The parties are independent contractors. Nothing creates a partnership, joint venture, agency, fiduciary, or employment relationship.
16.7 Entire Agreement
This Agreement, together with the Acceptable Use Policy, any Order Form, and any executed DPA or BAA, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior or contemporaneous agreements, proposals, and understandings, written or oral. Any terms in a Customer purchase order or similar document are void and of no effect.
16.8 Severability; No Waiver
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force. No failure or delay in exercising any right constitutes a waiver of that right.
16.9 Notices
Notices to Quri must be sent to support@quri.ai and to Quri, LLC, 700 Shadow Ln, Suite 430, Las Vegas, NV 89106, Attn: Legal. Notices to Customer may be sent to the email address associated with Customer's account or provided in-Service. Notices are effective upon delivery.

Relationship to the Terms of Service
These Terms cover website use and rules of conduct that apply to everyone, whether or not you are a paying customer. If you are a customer under the Terms of Service and any conflict arises between these Terms and the Terms of Service with respect to the Services, the Terms of Service controls. Capitalized terms not defined here have the meanings given in the Terms of Service.

Quri may change these Terms at any time. We will post the updated version with a revised "Last Updated" date and, for material changes, provide reasonable notice. Your continued use after the effective date constitutes acceptance.
Part I — Website Terms
All pages, materials, and files made available on or through the Site — including data, documents, text, photographs, images, graphics, audio, video, layouts, and design elements ("Content") — are the property of Quri or its licensors and are protected by United States and international copyright, trademark, and other laws.
Content may not be copied, distributed, modified, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way, in whole or in part, to any other computer, server, website, or medium, or for any commercial purpose, except as expressly authorized by these Terms or approved in writing by Quri. You may not frame, mirror, or deep link to any Quri name, trademark, service mark, logo, or Content without our express written consent.
Content may originate from Quri or from third parties. Third-party Content has not been independently authenticated, tested, or verified by Quri. All Content is provided "as is," and Quri makes no claims, representations, or warranties as to its accuracy, validity, completeness, or currency.
Quri may improve or change Content at any time. While we attempt to keep Content current, it may be inaccurate, incomplete, or out of date. Quri has no duty to update Content and will not be liable for any failure to do so. It is your responsibility to verify any information on the Site before relying on it.

Part II — Rules of Conduct
The following rules apply to everyone who accesses the Site, whether or not you are a Quri customer. While certain underlying source records derive from publicly available datasets, Quri's selection, arrangement, matching, normalization, enrichment, classification, and scoring of that data is owned exclusively by Quri. You will not:
Quri monitors usage patterns for compliance and may throttle, suspend, or terminate access where it reasonably suspects a violation. You acknowledge that a breach of this Section would cause irreparable harm to Quri for which monetary damages are inadequate.
You will not: (a) attempt to gain unauthorized access to the Site, other users' accounts or data, or any connected system or network; (b) access data not intended for you, or log into a server or account you are not authorized to access; (c) probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure, without Quri's prior written authorization; or (d) conduct penetration testing, load testing, or vulnerability scanning without Quri's prior written authorization. Report suspected vulnerabilities to support@quri.ai.
You will not use the Site in a manner that imposes an unreasonable or disproportionate load on Quri's infrastructure, including by issuing excessive requests, running high-frequency automated queries, or consuming resources inconsistent with normal human use. Quri may impose or adjust rate limits at any time.
Quri may investigate suspected violations of these Terms and take any action it deems appropriate, including issuing a warning, throttling or restricting access, suspending or terminating accounts, removing or disabling access to offending content, and reporting the activity to law enforcement or affected third parties.
Quri is not obligated to monitor use of the Site, and any failure to enforce these Terms in a given instance is not a waiver of the right to enforce them subsequently.
By using the Site, you agree that a violation of these Terms constitutes unlawful and unfair business practice and will cause irreparable harm to Quri for which monetary damages would be inadequate, and you consent to Quri seeking injunctive or equitable relief. You understand that we cannot and do not guarantee that files available for download from the internet or the Site will be free of viruses or destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your requirements for anti-virus protection and data accuracy, and for maintaining a means external to the Site to reconstruct any lost data. This Section 14 applies to use of the Site by non-customers and to Site use generally. If you are a customer under the Terms of Service, the limitation of liability in Section 13 of the Terms of Service governs your use of the Services and controls over this Section 14 with respect to the Services.
ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR IT IS PERMANENTLY BARRED. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You are personally responsible for your conduct on the Site and in the Services. You agree to indemnify, defend, and hold harmless Quri and its officers, directors, members, joint venturers, business partners, licensors, employees, agents, and third-party information providers from and against all claims, losses, expenses, damages, and costs (including reasonable attorneys' fees) resulting from or arising out of your use, misuse, or inability to use the Site, the Services, or the Content, or any violation by you of applicable law or these Terms. Quri reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with reasonable requests to assist in that defense.
You may obtain access via the Site to confidential information of Quri and its suppliers, including technical, contractual, product, program, pricing, methodology, and marketing information that should reasonably be understood as confidential ("Confidential Information"). You must hold Confidential Information in strict confidence. Title remains with Quri and its suppliers. Upon written request, you must cease use and return or destroy it.
These Terms impose no obligation with respect to information you can establish by legally sufficient evidence: (a) you possessed before receiving it from Quri, without confidentiality obligation; (b) is or becomes generally known to the public without violation of these Terms; (c) you obtained from a third party entitled to disclose it without restriction; (d) you independently developed without use of Confidential Information; or (e) you are required to disclose by valid court order or law, after prior notice to Quri sufficient to allow Quri to object.
Exports, re-exports, and transfers of Quri products, services, technology, software, technical data, and the Site (collectively, "Quri Items") are subject to U.S. export control and sanctions laws, including the Export Administration Regulations administered by the Commerce Department's Bureau of Industry and Security and the economic sanctions regulations administered by the Treasury Department's Office of Foreign Assets Control ("Applicable Export Laws").
You may not access, download, distribute, use, export, re-export, release, or otherwise transfer Quri Items in violation of Applicable Export Laws. You will not use Quri Items in connection with the development, design, manufacture, or production of nuclear, chemical, or biological weapons, or for any military end-use or military end-user in a restricted jurisdiction.
Quri Items may not be provided, directly or indirectly, (i) in Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, or Luhansk regions of Ukraine, or any other country or region subject to comprehensive U.S. sanctions, or to entities controlled by or nationals or residents of such jurisdictions (other than lawfully admitted permanent residents of non-sanctioned countries); or (ii) to any party on the U.S. Treasury Department's List of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department's Denied Persons or Entity Lists.
By accepting these Terms, you represent and warrant that you are not located in, under the control of, or a national or resident of any such jurisdiction, are not on any such list, and will not share Quri Items with any party described above.
Quri may at any time, in its sole discretion, terminate or block your access to the Site or the Services if Quri determines that you have violated these Terms or any other Quri agreement or guideline. The remedies in these Terms are in addition to any other remedies available to Quri.
Authority. The Site is available to users 18 years of age and older. By accessing or using the Site, you represent that you are of legal age to form a binding contract with Quri and have full authority to do so.
Entire Agreement. These Terms, together with the Privacy Policy and, where applicable, the Terms of Service, constitute the entire agreement between you and Quri regarding the subject matter.
No Waiver. No waiver by Quri of any breach or default is a waiver of any preceding or subsequent breach or default.
Correction of Errors. Content may contain typographical or other errors, inaccuracies, or omissions, and may not be complete or current. Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.

This Privacy Policy explains how Quri, LLC ("Quri", "we", "us", "our") collects, uses, stores, discloses, and otherwise processes personal data. It applies when you visit our websites, register for an account, use our products and services — including Sitara, StudyFinder, and TrialTrack (the "Services") — attend our events or webinars, interact with our marketing, or otherwise communicate with us.
It also explains how we process professional information about healthcare providers and organizations that appears within our Services, and your rights and choices regarding your personal data. Please read this Policy carefully. If you do not agree with it, do not use our websites or the Services.
We may update this Policy from time to time. We will post the updated version here with a revised "Last Updated" date. Where a change materially affects how we use or disclose personal data, we will provide notice before it takes effect, unless another form of notice is required by law. Continued use after the effective date constitutes acceptance.
Your use of our websites and Services is also governed by our Terms of Use and, for customers, our Terms of Service.
Quri processes personal data in three distinct capacities. Understanding which applies to you determines which parts of this Policy are relevant.
Personal data about our website visitors, prospects, account holders, and business contacts — collected for our own purposes such as account management, billing, support, and marketing.

Personal data our customers upload into the Services or generate through their use of them (their own contacts, notes, message content, lists, tracker records). We process this on our customers' behalf and under their instructions.
Governed by: the Terms of Service and any executed Data Processing Addendum — not this Policy. If you are an individual whose data a Quri customer has uploaded, contact that customer directly.
Professional and business information about healthcare providers, principal investigators, research sites, and organizations, sourced from public and licensed datasets and made available within our Services as Quri Data.

2.1 Information You Provide
Account registration. Name, business email address, company name, job title, password. If you register or sign in through a third-party identity provider such as Google, Microsoft, or LinkedIn, we receive your name, email address, and, depending on that provider's settings, other profile information.
Billing and payment. Billing name and address, tax identifiers, plan selection, transaction history, and payment method details. Full payment card numbers are collected and processed directly by our payment processor and are not stored by Quri.
Communications. Information you provide when you contact us, submit a form, request a demo, respond to a survey, or contact support — including the content of those communications.
Events and content. Registration information for webinars, events, and gated content, which may include name, job title, company, and areas of interest.
Testimonials. Where you consent, your name, title, company, and the content of your testimonial.
2.2 Information Collected Automatically
Device and usage data. IP address, browser type and version, operating system, device identifiers, referring URL, pages viewed, links clicked, features used, search queries entered into the Services, session duration, and timestamps. We may infer approximate geographic location from IP address.
Cookies and similar technologies. Cookies, pixels, web beacons, local storage, and similar technologies, subject to your consent where required. See our Cookie Policy for details and choices.
Email and message engagement. Where you receive email from us, we may record opens, clicks, and delivery status.
2.3 Information from Third Parties
Business partners and resellers. If you access the Services through a reseller, distributor, or partner, we may receive your business contact information from them. Data and marketing providers. We may obtain business contact information, firmographic data, and professional details from commercial data providers and publicly available sources to enrich our records and support our sales and marketing. Identity providers. As described in Section 2.1.
We do not sell personal data for money. Certain disclosures to advertising and analytics partners may constitute "sale" or "sharing" for targeted advertising under some U.S. state privacy laws. See Section 11 for how to opt out.
This Section describes how we process information about healthcare providers, principal investigators, research sites, and organizations that appears within our Services. If you are a healthcare provider whose professional information appears in Sitara or another Quri product, this Section is for you.
4.1 What We Compile
Our Services present professional and business information about individuals and organizations involved in clinical research, which may include: name, professional credentials, National Provider Identifier (NPI), medical specialty and taxonomy, practice or business name, practice address, publicly listed practice telephone number, clinical trial participation history, research payment history reported by pharmaceutical and medical device manufacturers, and business contact information for staff at research organizations. From this information, we generate derived analytics — including scores, rankings, classifications, trends, and estimates — which together with the underlying records we call "Quri Data."

4.3 What We Do With It
We process Quri Data to compile, normalize, match, enrich, classify, score, and analyze professional research activity, and to make the resulting analytics available to our customers — pharmaceutical and biotechnology sponsors, contract research organizations, research sites, and investors — for the purpose of identifying, evaluating, and engaging clinical trial sites and investigators. We use automated methods, including artificial intelligence and machine learning, to perform this processing. See Section 5.
Where GDPR applies, our legal basis is legitimate interests — specifically, the interest of Quri and our customers in enabling informed, evidence-based clinical trial site selection, balanced against the interests and rights of the individuals concerned. The information we process is professional and business information, not information about private life.
4.4 Patient Data
Quri Data does not include, and our Services do not display, information that identifies any individual patient. Where we license healthcare claims data, we license de-identified data and use it only to produce provider-level aggregate statistics — for example, the estimated number of patients a given provider treats annually for a given condition. We do not receive, store, or display patient-level records, patient identifiers, or individual medical histories.
4.5 Your Rights If You Appear in Quri Data
If you are a healthcare provider or other individual whose professional information appears in our Services, you may request a copy of the information about you that appears in our Services; request correction of information you believe is inaccurate; request suppression or removal of your record from our Services; or object to our processing of your information.
To make a request, contact support@quri.ai with sufficient information for us to locate your record (name, NPI where available, and practice location). We will respond within the timeframe required by applicable law. Where information originates from a public government dataset, we can suppress it from our Services but cannot remove it from the underlying government source — those requests must be directed to the agency that publishes the data.
We use artificial intelligence and machine learning to process, normalize, match, classify, score, summarize, and analyze third-party source data in order to produce Quri Data and market intelligence, and to power features such as search interpretation, classification, and content drafting.
We do not use our customers' data to train, fine-tune, or improve any artificial intelligence or machine learning model, whether our own or a third party's. Where a feature requires transmitting customer data to a third-party AI provider in order to deliver that feature, we contract with such providers on terms that prohibit the use of that data for model training.
Output generated by artificial intelligence is probabilistic and may be inaccurate or incomplete. We do not use automated decision-making that produces legal or similarly significant effects concerning individuals within the meaning of Article 22 of the GDPR.
We do not sell, rent, or lease personal data. We disclose personal data only as described below.
Service providers and subprocessors. We engage third parties to perform functions on our behalf, including cloud hosting and infrastructure, payment processing, email delivery, customer support tooling, analytics, contact data enrichment, data licensing, security monitoring, and marketing. These providers process personal data under contract, following our instructions, and are prohibited from using it for their own purposes. A current list of subprocessors is available on request at support@quri.ai.
Affiliates. We may share personal data with entities under common control with Quri for administrative, engineering, support, and sales purposes.
Resellers and partners. Where you request information about our Services or purchase through a partner, we may share your business contact information with that partner as necessary to fulfill your request. Partners process such data as independent controllers under their own privacy policies.
Advertising and social platforms. Where permitted by law or with your consent, we may share limited information such as a hashed email address with advertising and social media platforms to deliver and measure advertising. See our Cookie Policy.
Business transfers. In connection with a merger, acquisition, financing, reorganization, bankruptcy, receivership, or sale of assets, personal data may be transferred to a successor or acquirer.
Legal and safety. We may disclose personal data to comply with law or legal process, respond to lawful requests from public authorities, enforce our agreements, protect the rights, property, or safety of Quri, our users, or the public, or establish or defend legal claims.
Where our customers upload or generate personal data within the Services — such as their own contact lists, notes, tasks, tracker records, and message content — we process that data on their behalf and under their instructions, not for our own purposes. For that data:
If you believe a Quri customer holds personal data about you and you wish to exercise your rights, please contact that customer directly. If you contact us, we will refer your request to the relevant customer where we are able to identify them.
We implement administrative, technical, physical, and organizational safeguards designed to protect personal data against unauthorized access, use, disclosure, alteration, loss, and destruction. These include encryption of data in transit using industry-standard protocols, encryption of data at rest, role-based access controls limiting personnel access on a need-to-know basis, logging and monitoring of access to production systems, and periodic review of our security practices.
No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding your login credentials. If you know or suspect that your credentials have been compromised, or that there has been unauthorized use of your account, contact us immediately at support@quri.ai.
We retain personal data for as long as reasonably necessary to provide the Services, fulfill the purposes described in this Policy, comply with legal obligations, resolve disputes, maintain security, prevent fraud, and enforce our agreements.
Backup copies are deleted in the ordinary course of our backup rotation. After the applicable retention period, personal data is deleted or anonymized.
Quri is based in the United States, and personal data we process is stored and processed in the United States and in other jurisdictions where our service providers operate.
If you access our websites or Services from the European Economic Area, the United Kingdom, Switzerland, or another region with data transfer restrictions, your personal data may be transferred to the United States, which may not provide the same level of data protection as your home jurisdiction.
Where we transfer personal data internationally, we implement appropriate safeguards, including Standard Contractual Clauses approved by the European Commission and, where applicable, the UK International Data Transfer Addendum. How to exercise your rights. Account holders can access, review, and update much of their information directly in account settings. All others may submit a request to support@quri.ai or by mail at the address in Section 14. We may ask for information to verify your identity. Depending on your jurisdiction, you may use an authorized agent, whose identity and authority we will verify.
Marketing opt-out. Follow the unsubscribe link in any marketing email, or contact us. You will continue to receive service-related and transactional messages.
Cookies and tracking. Manage your preferences through our cookie banner or as described in our Cookie Policy. To opt out of the sale or sharing of personal data for targeted advertising, use the "Do Not Sell or Share My Personal Information" link in our website footer. We honor Global Privacy Control (GPC) signals where required by law. If you appear in Quri Data, see Section 4.5 for the applicable process.
Limits. Your rights are not absolute. We may decline a request where fulfilling it would impair the rights of others, prevent us from providing a service you requested, or conflict with a legal obligation. We will explain our reasoning where required by law.
Our websites and Services are intended for business use by adults and are not directed to children under 16. We do not knowingly collect personal data from children under 16. If you believe a child has provided personal data to us, contact support@quri.ai and we will take steps to delete it.
Our websites and Services may link to or integrate with third-party websites and services. This Policy does not apply to them. We encourage you to review the privacy policies of any third party before providing information to it.
